RINGFILLER TERMS OF USE
This is Ringfiller, a social network mobile application designed and managed by Ringfiller, LLC as a platform to allow both professional and amateur boxers, managers, trainers, matchmakers and promoters to connect online. We have provided the mobile application with the expectation that it will begin conversations that will ultimately result in matched professional competitions. We ask that you carefully read the terms of use, set forth below, as they explain the terms in which you may gain access to and make use of the mobile application. This includes accessing, logging on to, making comments on, making connections from, and generally browsing the mobile application. Your access and use of this site mean that you agree to be legally bound by these terms of use. If you disagree with these terms, in whole or in part, please discontinue using this mobile application.
This is a legally binding agreement between Ringfiller, LLC and the user for the provision of the Ringfiller Mobile App and Ringfiller.com service, and these terms shall oversee the agreement between the user and Ringfiller, LLC to the ruling out of any other terms or conditions.
As a user, you agree to abide with these terms of use as laid out in this agreement and any other terms of use as modified by Ringfiller and Ringfiller, LLC from time to time at its full discretion.
We reserve the right and may exercise such to refuse applications for membership and to terminate memberships at any time. Ringfiller may also, at its sole discretion and for any reason, delete any comment, pictures, information or any other material posted by users.
This agreement between the user and Ringfiller shall become effective on the acceptance by us of the user’s application for membership. You however may not consider your application for membership to be accepted by us until you have received a notification of membership confirmation from us by e-mail.
Provided that they do not have an adverse effect on the quality of the service, Ringfiller reserves the right to make changes from time to time to the service as required by law or relevant safety requirements.
Without prior information to users, we may choose to review or add supplementary terms to any of these conditions at any time. We will however indicate the last date updated at the top right of this page every time we amend or review our terms, and your use of our mobile application after any such change or modification means that you agree to be constrained by the terms of use as changed. The terms of use as amended by us from time to time shall surpass and overrule all other terms of use.
You agree that all third party rights are barred and no third parties shall have any privilege to implement this agreement.
To be able to register for our services and use our mobile application, you must be at least 18 years old, and have the capability to enter into legally binding contracts. By using the RingFiller mobile application, you represent and warrant that you have attained the legal age of 18, or the legal age in the country in which you reside.
You will have to undergo a registration process to be able to access and use our mobile application. During this process, we will ask you to provide your email address and a password, and these details will be used to create an individual user account for you. Once we have created the user account, you may thereafter create a user profile for yourself.
You hereby attest and declare that the information you provide on our mobile application, both during the registration process and afterwards, are honest, complete and not in any way deceptive. You also consent to update your account information regularly so that it remains accurate, true, complete and not ambiguous. We have the right to and may delete your account if information provided is found to be false, incorrect or deliberately misleading.
As a registered user on our mobile application, you acknowledge and consent that other users will be able to view your user profile. You will also be allowed to view the details and profiles of other registered users. You can also post information about your gym, sparring sessions, and requirements for sparring opponents.
User uploads are at the user’s discretion. If you decide to post or disclose any confidential or sensitive information about yourself, you do so entirely at your own risk. We may replicate any information that you post on the mobile application in any form and in any manner that we may deem fit.
You agree that Ringfiller reserves the right and may exercise such, from time to time, to assess user profiles to adjust and/or remove the entire profile or parts of it as we in our sole discretion deem fit.
Users represent and warrant that they are fully aware that the mobile application is purely a forum for users to post information about themselves and to relate with other users through use of the Service. Users should be aware that information posted by other users on their profiles are only a depiction of how they describe themselves, and users may not presume that the information filled in any profile is genuine.
While we may implement a verification exercise once in a while, we are not obligated to verify that the profiles of users are correct and not false.
Ringfiller admonishes users (at their own expense) to carry out their own private inquiries and verify the truth of other users’ claims and information before acting on such information obtained from any user profile or on any other information received by users through the use of the service.
Should a user arrange any meetings or matched competitions with any person or persons through the use of the mobile application , the user does so at his or her own sole risk. We advise users to take such precautions as they may deem necessary to ensure personal safety and the safety of property.
We will under no circumstances be held liable for any loss or damage that may occur in connection with or relating to users’ use of the site and any acquaintance and/or meetings they make from their use of the application.
Except we specifically state so, all materials, including pictures, icons, graphics, designs, video clips, pictures, written materials and all other materials found on this mobile application are copyrighted, trademarked, controlled or licensed by Ringfiller’s affiliates or by their respective creators. All such materials are protected by US laws and international copyright laws.
To preserve the copyright of users, we will under no circumstances upload and/or post any material or content to a third party site without the explicit permission of the creator.
The Ringfiller mobile application, our website, page headers, logos, scripts, button icons, and service names made available through our website are trademarks or trade dress of Ringfiller, LLC in the United States and other countries.
You may access the www.ringfiller.com website or Ringfiller mobile application for both personal and commercial use. We grant users the permission to view, download or copy the contents and all other downloadable materials shown on the site, as long as they agree that no title, interest or right in any material downloaded is transferred to them as a result of any such download.
Users agree that they post personal contact particulars (including but not limited to telephone number, address, e-mail address or URL), as well as any details that would allow other users to make direct contact with them at their own risk. You agree that you also include a link to your personal social media pages at your own risk.
You may not abuse the service or any information posted on the website or mobile application in any way. You also may not attempt to gain unauthorized access to any information available on the service or to the network(s) used in providing the service; and/or post or replicate in any way any information in which the Intellectual Property Rights belong to a third party without the prior approval of the owner of such rights.
We prohibit users from sending any junk e-mail to other users. You may not allocate, transfer or permit any other individual to use your membership in any way. You are not to use our mobile application to spread content that in any way encourages criminal offenses or otherwise breaches any relevant laws or regulations, or misuse any part of the mobile application for any illegal purposes.
You may not transmit, post or email to any other user any information, pictures or other material, which in the opinion of Ringfiller, LLC. is racist, abusive, sexually explicit, sexually suggestive, threatening, obscene or libelous; and/or transmit, post or email to any other user any information, representations or other material, which in the rational opinion of Ringfiller, LLC. is capable of offending other users’ political or religious beliefs.
Users are prohibited from meddling with any other user’s use of the mobile application; and you may not use or attempt to use any device, software, or procedure to interfere with the proper working of Ringfiller websites or applications, or violate or attempt to violate the security of Ringfiller websites or applications.
If you are discovered to violate any of the provisions of our terms, we will hold you solely responsible for any legal costs and losses arising out of your breach. We may also terminate your use of the mobile application without any prior warning if you breach any of these terms.
Ringfiller, LLC. may terminate this user agreement with immediate effect, or may immediately suspend or terminate your privilege as a user to the service without prior notice if we are unable to establish the correctness or legitimacy of any information posted by you; if you fail upon request to present us with sufficient information to establish correctness; if any information you post is deemed detrimental or potentially destructive to the welfare of Ringfiller, LLC’s business; and/or if you continuously violate the terms of this agreement.
You hereby agree that any failure by Ringfiller, LLC. to implement our rights to terminate the agreement upon violation of the terms of this agreement by you does not amount to a waiver of our rights and we may implement our rights at any time.
For the sake of convenience, we provide links to websites of third party sites. You are not to take the presence of such links as an endorsement of the content, procedures, products and/or services, of that third party website. You access and make use of such third party sites at your own risk.
THE WWW.RINGFILLER.COM WEBSITE AND MOBILE APPLICATION IS PROVIDED ON AN “AS IS” BASIS, AND WE MAKE NO GUARANTEES OR ASSURANCES THAT IT WILL SATISFY YOUR REQUIREMENTS OR MEET YOUR EXPECTATIONS. IF YOUR COMPUTER/ BROWSING DEVICE DOES NOT SUPPORT RELEVANT TECHNOLOGY SUCH AS ENCRYPTION, YOU MAY BE UNABLE TO BROWSE THE SITE AND/OR USE SOME PARTS OF OUR SERVICES.
WE MAKE NO ASSURANCES OR WARRANTIES OF ANY SORT, WHETHER DIRECT OR INDIRECT, CONCERNING THE OPERATION OF THE MOBILE APPLICATION OR THE CONTENT, INFORMATION, AND MATERIALS DISPLAYED ON THE MOBILE APPLICATION.
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED (COUNTING, BUT NOT LIMITED TO THE INDIRECT WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE AND MERCHANTABILITY) TO THE MAXIMUM EXTENT PERMISSIBLE BY APPLICABLE LAW. WE SHALL NOT BE HELD RESPONSIBLE FOR ANY LOSS/DAMAGE (BE THEY DIRECT, RELATED, PENAL, SECONDARY, OR FAR-REACHING) IN CONNECTION WITH YOUR USE OF THIS APPLICATION.
YOU HEREBY AGREE THAT WWW.RINGFILLER.COM, RINGFILLER MOBILE APPLICATION AND RINGFILLER, LLC SHALL BEAR NO RESPONSIBILITY WHATSOEVER FOR DAMAGES OR LOSSES, WHETHER THEY ARE PHYSICAL OR MONETARY, RESULTING FROM CONTACT SPORTS COMPETITIONS WHERE THE MATCH MAKING WAS INITIATED ON THE WEBSITE OR APPLICATION.
WE WILL NOT BEAR ANY RESPONSIBILITY TO YOU OR ANY THIRD PARTY, INCLUDING BUT NOT LIMITED TO PHONE, HARDWARE OR SOFTWARE, NETWORK, ELECTRONIC, EMAIL OR COMPUTER MALFUNCTIONS, INTERNET, FAILURES OR DIFFICULTIES OF ANY KIND; CONDENSED, PARTIAL, DISTORTED OR DELAYED COMPUTER AND/OR EMAIL TRANSMISSIONS; OR ANY EVENT BROUGHT ABOUT BY CIRCUMSTANCES BEYOND OUR CONTROL THAT MAY CAUSE OUR SERVICES TO BE LATE, INTERRUPTED, OR CORRUPTED; ANY INJURIES, DAMAGES OR LOSSES OF ANY TYPE AS A RESULT OF USING WWW.RINGFILLER.COM OR THE RINGFILLER MOBILE APPLICATION.
WE WILL NOT HAVE ANY OBLIGATION TO YOU OR ANY OTHER INDIVIDUAL, FOR ANY MATTERS OUTSIDE OUR CONTROL; OR FOR ANY UNFORESEEABLE MISFORTUNES OR HARMS.
NOTHING INCLUDED IN THESE TERMS OF USE IS INTENDED TO LIMIT OR EXCLUDE ANY LEGAL RESPONSIBILITY FOR INJURY OR DEATH ARISING FROM DECEPTION, CARELESSNESS, OR ANY OTHER LIABILITY WHICH MAY NOT BE EXEMPTED OR RESTRICTED BY LAW, OR AIMED AT AFFECTING YOUR STATUTORY RIGHTS AS A CONSUMER.
IF CERTAIN APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OF LIABILITY SET FORTH ABOVE, YOU WILL BE EXEMPTED FROM THIS LIMITATION OF LIABILITY.
THIS AGREEMENT REPRESENTS THE COMPLETE AGREEMENT BETWEEN YOU AND RINGFILLER, LLC. IF ANY TERM OF THIS AGREEMENT IS HELD BY ANY CAPABLE COURT OR AUTHORITY TO BE INVALID IN PART OR IN WHOLE, THE VALIDITY OF THE OTHER TERMS OF THIS AGREEMENT AND THE REMAINDER OF THE AFFECTED TERM SHALL BE UNCHANGED AND SHALL REMAIN EFFECTIVE.
As a user, you hereby agree to protect, indemnify and hold RINGFILLER, LLC. innocent against all and any claims, fees and expenses (including but not restricted to legal fees), and all damages in connection to your use of the website.
This agreement is construed by and shall thus be interpreted in accordance with the United States law and both parties consent to submit to the exclusive jurisdiction of its courts.
This privacy policy describes how we use and protect any information received or obtained from you when you use this mobile application. We are absolutely committed to ensuring that your privacy is protected, and will only use provided information in accordance with this privacy statement.
